Overview

This End User License Agreement (this “EULA”) is a legal agreement between you, the Practitioner or clinic entity installing or using the software (the “Licensee,” “you,” or “your”), and HealthChip Technologies Private Limited, operating under the trade name “GoClinica” (the “Company,” “GoClinica,” “we,” “us,” or “our”), governing your use of the GoClinica Clinic Management Software, including all associated modules, updates, documentation, and any bundled third-party components (collectively, the “Software”).

BY INSTALLING, ACCESSING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS EULA. IF YOU ARE ENTERING INTO THIS EULA ON BEHALF OF A CLINIC, HOSPITAL, OR OTHER ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY, AND REFERENCES TO “YOU” SHALL INCLUDE THAT ENTITY. IF YOU DO NOT AGREE TO THIS EULA, DO NOT INSTALL, ACCESS, OR USE THE SOFTWARE.

This EULA supplements, and should be read together with, GoClinica’s Terms of Use and Privacy Policy. Capitalized terms not defined in this EULA carry the meanings assigned to them in GoClinica’s Terms of Use and Privacy Policy. In the event of a conflict between this EULA and the Terms of Use on a matter specific to your installation and use of the Software, this EULA shall prevail solely in respect of that matter.

1. GRANT OF LICENSE

1.1Subject to your compliance with this EULA and payment of any applicable fees, GoClinica grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software, in object code form only, on the number of devices or workstations, and for the number of users, permitted under your applicable subscription plan, solely for the purpose of managing your clinical practice, including patient records, appointment scheduling, billing, and related administrative functions.

1.2This EULA grants you a license to use the Software; it does not constitute a sale of the Software, and GoClinica and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein.

1.3Any rights not expressly granted to you under this EULA are reserved by GoClinica.

2. RESTRICTIONS

You shall not, and shall not permit any third party to:

(a)copy, modify, translate, or create derivative works based on the Software;

(b)reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying algorithms, or structure of the Software, except to the extent such restriction is prohibited by applicable law;

(c)rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software, or any rights under this EULA, to any third party;

(d)remove, alter, or obscure any proprietary notices, labels, or marks on or within the Software;

(e)use the Software to develop a competing product or service, or for the purpose of monitoring the Software’s availability, performance, or functionality for competitive benchmarking purposes;

(f)circumvent, disable, or otherwise interfere with any security-related or license-management features of the Software; or

(g)use the Software in violation of any applicable law, including data protection, healthcare, and export control laws.

3. OWNERSHIP OF DATA

3.1As between you and GoClinica, you retain ownership of the patient and practice records that you input into, or generate through, the Software (“Practice Records”), subject to GoClinica’s rights to access, host, process, and use such Practice Records as described in GoClinica’s Terms of Use and Privacy Policy, including for the purposes of providing the Software, ensuring its security, and complying with applicable law.

3.2You are solely responsible for the accuracy, legality, and appropriateness of all Practice Records entered into the Software, and for obtaining any consents required from your patients for the collection, storage, and processing of their information through the Software, including under the Digital Personal Data Protection Act, 2023, and applicable medical ethics regulations.

3.3GoClinica does not access, use, or disclose Practice Records other than as described in GoClinica’s Terms of Use and Privacy Policy, or as required to provide technical support, resolve errors, or comply with applicable law.

4. UPDATES AND SUPPORT

4.1GoClinica may, from time to time, release updates, patches, bug fixes, or new versions of the Software (collectively, “Updates”). Updates may be installed automatically or may require your action, and this EULA shall apply to all Updates unless accompanied by separate license terms.

4.2GoClinica may provide technical support in respect of the Software in accordance with the support terms applicable to your subscription plan, as may be communicated to you separately. GoClinica reserves the right to modify or discontinue support for any version of the Software, subject to reasonable prior notice.

4.3GoClinica reserves the right to modify, suspend, or discontinue any feature of the Software at its discretion, provided that GoClinica shall use reasonable efforts to notify you of any material discontinuation affecting your active subscription.

5. FEES AND SUBSCRIPTION

5.1Your use of the Software is subject to the fees, billing cycle, and payment terms applicable to your selected subscription plan, as set out on the Website or in a separate order form or subscription agreement executed between you and GoClinica.

5.2Free Trial Period. GoClinica may, at its discretion, make the Software available to you on a complimentary trial basis for an initial evaluation period (the “Trial Period”), the duration and terms of which will be communicated to you via the Website, the Software, or a separate order form. Upon expiry of the Trial Period, continued access to the Software is contingent upon activation of a pre-paid subscription plan in accordance with Clause 5.1 above, and GoClinica may suspend or restrict access to the Software if no active subscription is in place.

5.3No Refunds. Except as expressly required by applicable law, all subscription fees paid by you are non-refundable, including where you cancel, downgrade, or terminate your subscription, or discontinue use of the Software, prior to the end of the then-current subscription period.

5.4GoClinica reserves the right to suspend your access to the Software in the event of non-payment of applicable fees, subject to reasonable prior notice, in accordance with the Termination provisions of GoClinica’s Terms of Use.

6. WARRANTY DISCLAIMER

6.1 THE SOFTWARE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

6.2GoClinica does not warrant that the Software will be uninterrupted, error-free, or free from harmful components, or that any errors will be corrected. You acknowledge that the Software is a practice-management tool and does not constitute, and shall not be relied upon as, clinical or diagnostic software; you remain solely responsible for all clinical decisions made in the course of your practice.

7. LIMITATION OF LIABILITY

7.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOCLINICA OR ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2GoClinica’s aggregate liability arising out of or in connection with this EULA, whether in contract, tort, or otherwise, shall not exceed the amount of subscription fees paid by you to GoClinica for the Software in the twelve (12) months preceding the event giving rise to the claim.

7.3Nothing in this EULA shall limit or exclude GoClinica’s liability for fraud, or for any other liability that cannot be limited or excluded under applicable law.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless GoClinica, its affiliates, directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of this EULA; (b) your use of the Software in violation of applicable law; (c) any Practice Records entered by you or your staff; or (d) any dispute between you and a patient or third party arising from your use of the Software.

9. TERM AND TERMINATION

9.1This EULA is effective from the date you first install or access the Software and shall continue until terminated in accordance with this Clause 9.

9.2GoClinica may terminate this EULA and your license to use the Software immediately upon written notice if you breach any material term of this EULA, or in accordance with the termination provisions set out in GoClinica’s Terms of Use.

9.3You may terminate this EULA at any time by uninstalling the Software and discontinuing your subscription in accordance with the applicable cancellation terms of your subscription plan.

9.4Upon termination, your license to use the Software shall immediately cease, and you shall uninstall and destroy all copies of the Software in your possession. Clauses 3 (Ownership of Data), 6 (Warranty Disclaimer), 7 (Limitation of Liability), 8 (Indemnification), and 11 (Governing Law and Dispute Resolution) shall survive termination of this EULA. Your rights and obligations in respect of Practice Records following termination shall continue to be governed by Clause 6.2 (Preservation of Records upon Termination) of GoClinica’s Terms of Use.

10. THIRD-PARTY COMPONENTS AND EXPORT COMPLIANCE

10.1The Software may incorporate third-party open-source or licensed components, which are subject to their own license terms. Such terms, where applicable, shall be made available to you along with the Software or upon request.

10.2You shall comply with all applicable export control and economic sanctions laws in your use of the Software, and shall not use the Software in any country or manner prohibited by such laws.

11. GOVERNING LAW AND DISPUTE RESOLUTION

This EULA shall be governed by, and construed in accordance with, the laws of India, and any disputes arising out of or in connection with this EULA shall be resolved in accordance with the dispute resolution provisions set out in Clause 10 (Applicable Law and Dispute Settlement) of GoClinica’s Terms of Use.

12. CHANGES TO THIS EULA

GoClinica may update this EULA from time to time to reflect changes in the Software or applicable law. Material changes will be notified to you via the Software, the Website, or email, with a reasonable opportunity to review such changes before they take effect. Your continued use of the Software following such notice constitutes your acceptance of the updated EULA.
